These Terms and Conditions of Sale (“Terms”) govern all orders placed by the customer (“Customer” or “you”) with General Oligo, Inc. (“General Oligo,” “we,” or “us”) for nucleic acid biomaterials (“NAB”), Research Kits, laboratory accessories, and any other products made available by General Oligo (collectively, “Products”). NAB orders are placed through the General Oligo NAB Configurator. Accessories and Research Kits are ordered through the General Oligo Accessories Shop. By submitting an order through any General Oligo ordering platform, Customer agrees to be bound by these Terms and acknowledges that electronic acceptance constitutes a legally binding agreement.
General Oligo reserves the right to update these Terms at any time by posting revised Terms to its website. The Terms in effect at the time General Oligo issues a written order confirmation govern that transaction. Continued use of any General Oligo ordering platform following any update constitutes acceptance of the revised Terms.
These Terms may only be modified for a specific transaction by a written amendment signed by an authorized representative of General Oligo.
NAB pricing is calculated dynamically based on the configuration selected at the time of order and is confirmed at checkout. General Oligo reserves the right to adjust NAB pricing prior to issuing a written order confirmation based on factors including but not limited to raw material and reagent costs, NAB complexity, modification density, scale requirements, yield projections, and market conditions. Customer will be notified of any price adjustment before production commences and may cancel the order without penalty if the adjusted price is not accepted.
Accessories and Research Kits are sold at listed catalog prices displayed at the time of order. General Oligo reserves the right to adjust catalog pricing at any time without prior notice. The price in effect at the time of payment confirmation governs each transaction.
Applicable taxes will be calculated and collected at checkout based on the Customer’s location. All prices are quoted in United States Dollars (USD).
General Oligo accepts payment by major credit card, which is the preferred method. Customers requiring alternative payment arrangements such as ACH transfer or wire transfer may contact General Oligo at info@generaloligo.com to make such arrangements prior to order submission. Payment is due in full before production commences. Orders will not be released to production until payment has been received and confirmed.
General Oligo uses a secure third-party payment processor. General Oligo does not store credit card or payment information on its servers. By providing payment information, Customer authorizes General Oligo to charge the full order amount, including applicable taxes and fees, to the provided payment method.
Submission of a completed order through any General Oligo ordering platform and receipt of payment constitutes order acceptance. General Oligo reserves the right to decline any order for any reason, including but not limited to supply constraints or operational capacity. If an order is declined, any payment collected will be refunded in full.
For NAB Products, production commences when General Oligo begins procurement of materials or laboratory preparation specific to a Customer’s order. Due to the made-to-order nature of NAB Products, all NAB sales are final once production has commenced. NAB orders may not be cancelled, modified, or transferred after production has commenced. If production has not yet commenced, Customer may submit a cancellation request to info@generaloligo.com. General Oligo will assess cancellation requests at its sole discretion and, if approved, will issue a full refund.
For Accessories and Research Kits, all sales are final upon payment confirmation given the scientific nature of these products. Cancellations requested before shipment may be submitted to info@generaloligo.com and will be assessed at General Oligo’s sole discretion.
General Oligo will ship Products to the address provided by Customer at the time of order. Standard shipping is via UPS Next Day Air. NAB Products and Research Kits may require temperature-controlled shipping (cold packs or dry ice) depending on the product and configuration; appropriate packaging will be selected by General Oligo at the time of shipment. Accessories ship via standard ambient methods unless otherwise specified. Shipping fees are calculated at checkout and billed to Customer. General Oligo is not responsible for product degradation or loss caused by carrier handling, temperature excursions during transit, or customs delays. Alternative shipping arrangements may be requested at info@generaloligo.com prior to order submission.
Title and risk of loss for Products pass to Customer upon delivery to the carrier at General Oligo’s facility. For international orders, Customer is solely responsible for all applicable import duties, customs fees, and compliance with local import regulations.
Production and shipping timelines are estimates only and are not binding on General Oligo. General Oligo shall not be liable for delays caused by circumstances beyond its reasonable control, including but not limited to supplier delays, equipment failure, natural disasters, or government actions. Delays shall not relieve Customer of the obligation to pay the full order amount.
Customer shall inspect Products promptly upon receipt. General Oligo will provide a Certificate of Analysis (“CoA”) or equivalent quality documentation with each shipment where applicable. Any claim of nonconformity or major defect must be submitted in writing to info@generaloligo.com within 5 business days of receipt and must include a description of the defect or nonconformity, the relevant order number, and any available documentation or photographs supporting the claim. Failure to provide timely written notice constitutes acceptance of the Products as delivered.
General Oligo does not accept returns. All Products are sold as final. In the event General Oligo confirms a major defect — including a manufacturing defect, incorrect item shipped, significant quality control failure, or product damaged in transit — based on its review of the submitted claim and relevant records, General Oligo’s sole obligation shall be, at its option, to replace the nonconforming Product or issue a credit toward a future order. Credits are valid for 12 months from the date of issuance. General Oligo’s determination of whether a major defect exists shall be final.
Returns and remedies will not be provided for claims arising from buyer’s remorse, incorrect product selection by Customer, product incompatibility with Customer’s application or equipment, or any use inconsistent with the intended research purpose.
General Oligo warrants that NAB Products will materially conform to the specifications for identity, purity, yield, and modification incorporation as indicated in the Certificate of Analysis (“CoA”) issued by General Oligo and provided at the time of delivery (“Specifications”), for a period of 90 days from the date of delivery when stored and handled under the conditions specified in the CoA.
General Oligo warrants that Research Kits and Accessories will be free from major defects in materials and workmanship at the time of shipment. This warranty does not extend to consumable or single-use components, normal wear and tear, or products subjected to misuse, improper storage, or modification by Customer.
All warranties are void if Products are subjected to improper storage conditions, physical mishandling, contamination, unauthorized modification, or use inconsistent with the intended research purpose.
GENERAL OLIGO MAKES NO OTHER WARRANTY THAN THE LIMITED WARRANTY CONTAINED IN THESE TERMS AND SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTY AGAINST INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS. GENERAL OLIGO DOES NOT WARRANT THAT PRODUCTS WILL PRODUCE ANY PARTICULAR EXPERIMENTAL RESULT OR PERFORM AS EXPECTED IN ANY SPECIFIC APPLICATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENERAL OLIGO BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THE PURCHASE, USE, STORAGE, HANDLING, DISPOSAL, OR INABILITY TO USE THE PRODUCTS, EVEN IF GENERAL OLIGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES WITHOUT LIMITATION LOSS OF DATA, LOSS OF PROFITS, LOSS OF RESEARCH RESULTS, LOSS OF EXPERIMENTAL OPPORTUNITY, OR BUSINESS INTERRUPTION.
IN NO EVENT SHALL GENERAL OLIGO’S TOTAL LIABILITY TO CUSTOMER FOR ANY CLAIM ARISING OUT OF OR RELATED TO A PRODUCT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THAT SPECIFIC PRODUCT, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM. THIS LIMITATION APPLIES TO ALL CLAIMS WHETHER BASED IN CONTRACT, TORT, WARRANTY, OR ANY OTHER LEGAL THEORY.
THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM GENERAL OLIGO’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
All Products sold by General Oligo are intended for research use only (“RUO”) and have not been tested, validated, or approved for clinical, diagnostic, therapeutic, or human use. Customer assumes full responsibility for ensuring that its use of Products complies with all applicable institutional, regulatory, and biosafety requirements, including applicable biosafety level protocols.
Customer agrees not to:
General Oligo retains all intellectual property rights in and to the NAB Products, including any proprietary modification chemistries incorporated therein. No license to any General Oligo intellectual property is granted by the sale of Products beyond the right to use the Products for the Customer’s internal research purposes.
General Oligo treats all Customer order information as confidential, including NAB configuration selections, scale and purity parameters, intended application information voluntarily disclosed, and any associated scientific or business information submitted as part of an order (collectively, “Customer Information”).
General Oligo will not disclose Customer Information to any third party except as required by law, regulatory authority, or as necessary to fulfill the order, including disclosure to internal production personnel or contracted manufacturing partners operating under equivalent confidentiality obligations. Customer Information will not be used for General Oligo’s internal research or disclosed for any commercial purpose without Customer’s prior written consent.
General Oligo’s confidentiality obligations under this section shall survive termination or expiration of these Terms for a period of three (3) years from the date of the applicable order.
Customer acknowledges that General Oligo’s NAB formulations, modification chemistries, production processes, and pricing structures (collectively, “General Oligo Confidential Information”) constitute proprietary and confidential information of General Oligo. Customer agrees not to disclose General Oligo Confidential Information to any third party without General Oligo’s prior written consent.
Customer agrees to indemnify, defend, and hold harmless General Oligo and its directors, officers, employees, agents, subsidiaries, and successors (“Indemnified Parties”) from and against any third-party claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to:
General Oligo shall promptly notify Customer of any claim for which indemnification is sought, shall give Customer reasonable control over the defense and settlement of such claim, and shall cooperate with Customer in the defense thereof. Customer’s indemnification obligation shall not apply to the extent that a claim arises from General Oligo’s own gross negligence or willful misconduct.
General Oligo is committed to the responsible production and distribution of nucleic acid biomaterials and related research products. General Oligo reserves the right to review any order and to refuse or cancel orders that, in General Oligo’s sole judgment, present potential dual-use concerns, are inconsistent with legitimate scientific research, or conflict with applicable export control or biosafety regulations. If an order is cancelled on these grounds, any payment collected will be refunded in full.
Customer represents that NAB Products and Research Kits ordered will be used solely for legitimate scientific research purposes and in compliance with all applicable institutional biosafety protocols and regulatory requirements.
Customer represents and warrants that all purchase, receipt, storage, handling, use, and disposal of NAB Products will be conducted in compliance with all applicable federal, state, local, and international laws and regulations, including but not limited to:
Customer further represents that it has obtained all institutional approvals, permits, and authorizations necessary for the intended use of NAB Products prior to placing an order.
General Oligo represents that it produces and distributes NAB Products in compliance with all applicable laws and regulations governing the manufacture and sale of research biomaterials.
Any breach of the representations and warranties in this section shall be subject to the indemnification obligations set forth in Section 11.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Dispute Resolution. The parties agree to attempt to resolve any dispute arising out of or relating to these Terms or any order informally first by notifying the other party in writing and allowing 30 days to negotiate a resolution in good faith before initiating formal proceedings.
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or any order shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, with proceedings conducted in Wilmington, Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Each party waives any right to participate in a class action lawsuit or class-wide arbitration.
For international customers, Customer expressly consents to arbitration proceedings conducted in English under Delaware law, and waives any objection based on inconvenient forum.
In any dispute arising under these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. General Oligo’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of General Oligo.
Entire Agreement. These Terms, together with the order confirmation and any applicable Certificate of Analysis, constitute the entire agreement between the parties with respect to the Products and supersede all prior negotiations, representations, warranties, or agreements, whether written or oral.
Assignment. General Oligo may assign these Terms or any rights hereunder without Customer’s consent in connection with a merger, acquisition, or sale of all or substantially all of its assets. Customer may not assign these Terms or any order without General Oligo’s prior written consent. Any attempted assignment in violation of this section shall be void.
Notices. Any formal notice required under these Terms shall be delivered in writing by email to info@generaloligo.com for notices to General Oligo, and to the email address provided at the time of order for notices to Customer. Notices are effective upon confirmed receipt.
Force Majeure. Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, supply chain disruption, or failure of third-party infrastructure. The affected party shall notify the other promptly and resume performance as soon as reasonably practicable.
Independent Contractors. The parties are independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the parties.
Electronic Agreements. Customer acknowledges that these Terms are entered into electronically and that electronic acceptance through the Configurator is legally equivalent to a handwritten signature under applicable law.
Incorporated Policies. General Oligo’s Data Usage Policy is incorporated into these Terms by reference and forms part of the agreement between the parties. Customers are encouraged to review the Data Usage Policy prior to placing an order.
